1. Acceptance of Terms
By accessing or using the services provided by Swachh Hospital Technologies Pvt. Ltd. ("Swachh Hospital," "we," "us," or "our"), including our platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, do not access or use the Services.
2. Description of Services
Swachh Hospital provides an AI-powered hygiene governance platform designed for healthcare facilities. The Services include:
- AI-assisted hygiene assessment capture, scoring, and analysis.
- Compliance tracking, reporting, and audit-readiness tools.
- Role-based dashboards for supervisors, administrators, and compliance teams.
- Integration capabilities with existing hospital management systems.
The Services are provided as a cloud-based software-as-a-service (SaaS) platform. We reserve the right to modify, update, or discontinue features with reasonable notice.
3. User Obligations
As a user of our Services, you agree to:
- Provide accurate and complete information during registration and use of the platform.
- Maintain the confidentiality of your account credentials and promptly notify us of any unauthorized access.
- Use the Services only for lawful purposes and in compliance with applicable regulations, including healthcare data protection laws.
- Not attempt to reverse-engineer, decompile, or access the underlying source code of the platform.
- Not use the Services to store or transmit malicious code, or to interfere with the integrity or performance of the platform.
- Ensure that all personnel within your organization who access the Services are trained on and comply with these Terms.
4. Intellectual Property
All intellectual property rights in the Services — including software, algorithms, models, designs, documentation, and trademarks — are owned by Swachh Hospital or its licensors. These Terms do not grant you any ownership rights in the Services.
You retain ownership of any data you submit to the platform ("Customer Data"). You grant us a limited, non-exclusive license to process your Customer Data solely to provide and improve the Services.
We may use anonymized, aggregated data derived from platform usage for product improvement, research, and benchmarking purposes. Such data will not identify you or your organization.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Swachh Hospital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
- Our total liability for any claims arising from or related to these Terms shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.
- The AI-generated hygiene scores and assessments are advisory in nature. All AI outputs are subject to human review before action. Swachh Hospital does not guarantee the accuracy of automated assessments and is not liable for decisions made based on platform outputs.
6. Data Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
You are responsible for ensuring that your use of the Services complies with applicable data protection and healthcare regulations in your jurisdiction. The platform is designed to support — not replace — your organization's compliance obligations.
7. Service Availability & Support
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. Emergency maintenance may occur without prior notice to address security or stability issues.
Support is available through the channels specified in your service agreement. Response times and support scope vary by plan tier.
8. Termination
Either party may terminate the service relationship with written notice as specified in the applicable service agreement. We may suspend or terminate your access to the Services immediately if:
- You breach these Terms or applicable laws.
- Your use poses a security risk to the platform or other users.
- Your account is overdue for payment beyond the grace period.
Upon termination, we will provide a reasonable period (not less than 30 days) for you to export your Customer Data. After this period, your data will be deleted in accordance with our data retention policy.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of not less than 30 days.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through a notice on our website at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
